The U.S. Securities and Exchange Commission recently issued an FAQ Release regarding the new disclosure requirements associated with Form 8-K. The Commission provided responses to the top 30 frequently asked questions ranging from implementation to interpretation of the new Form 8-K items.
To help you find out how companies have disclosed these issues in their Form 8-Ks, GSI has prepared the following LIVEDGAR search statements:
These pre-defined search statements have been added to LIVEDGAR's Topical Research Library, which now includes over 1,600 search statements prepared by expert researchers.
Furthermore, LIVEDGAR's 8-K Sections provides users the ability to search all variations of Form 8-K by sections and items. Since public companies must report all significant developments under Form 8-K, this feature enables users to easily pinpoint relevant information.
The 8-K Section Search feature presents in a check box list format 22 items arranged under nine unique sections that users can use to search LIVEDGAR's collection of over 300,000 original and amended Form 8-K filings dating back to 1997.
By simply checking a box, users can limit the search to a Form 8-K item or select a particular section to search within the entire section. Plus, users can select the Exhibits check box to search the text of all exhibits attached to Form 8-K.
In addition to the convenient check box list, users have the ability to take the research a step further by conducting a granular search with the Free Text, Form Type and Additional Search Criteria fields. Combining the 8-K Sections check boxes with additional search criteria allows users to easily search LIVEDGAR's entire collection of Form 8-Ks and return targeted results.
Search results can be viewed as Hits in Context or as an Abbreviated Listing. Users can view, e-mail, print or save any search results, and documents are available in a variety of formats including HTML, PDF, Rich Text/Word and Text.
As you know, Form 8-K changed significantly this year. With LIVEDGAR's 8-K Section Search, users do not need to look up the former item number prior to conducting a search. The desired results will be retrieved irrespective of whether the filing was made under the new
8-K reporting requirements (effective August 23, 2004), or its predecessor forms. For example, results for the former "Item 1. Change in Control of Registrant" will automatically appear under "Item 5.01. Change in Control of Registrant."

The proxy season has begun. Before you draft your next proxy statement or respond to a shareholder proposal, speed up the task by using GSI's complete collection of No-Action Letters for insight into the SEC's approach to securities questions, the Proxy Sections search for precedent disclosures, and Form Type search of 14As to access thousands of shareholders' letters that are not available from the SEC's website.
No-Action letters can serve as an important research tool to identify the SEC's views regarding novel or significant questions. GSI Enhances Company Roundup Reporting Functionality
Company Roundup now offers you greater control over the types of information included in the report and the way it is presented. After entering the company name or ticker, LIVEDGAR provides 30 check box options that you can easily select from to create a highly customized report on any public company. These options are logically organized under six major information headings to simplify the selection process and include Company Overview, Directors and Executive Officers, Corporate Transactions, Compliance, Financials and News.

Several headings provide radio buttons that let you choose a summary or detailed view of the topic. Drop-down lists enable you to select the time period you want to cover in the report with the ability to go back as far as five years. Grayed out selections indicate that information related to that option is not available for the selected company.
For any Company Roundup, you can view, e-mail, print or save the gathered information. The View link directs LIVEDGAR to create a formatted PDF report that incorporates all customization direction. Each PDF report includes a cover page and table of contents, and breaks out each highlighted area into its own section to create an attractive and professionally formatted report. Additional fields can be populated to search based on a filing date or free text where you can enter any key word or phrase. LIVEDGAR's Insider Trading Report is a powerful tool that enables users to view and generate professionally formatted reports of the transactions and holdings of insiders as reported on Forms 3, 4 and 5 (and their amendments) for any public company or individual.
The Insider Trading Report provides users the ability to:

You can also view a complete listing of a company's insider trading filings, detailing the reporting person, related form type, file date, period and number of pages. The list can be resorted by any of the available column headings.
Furthermore, users can click on any insider name and view all of the individual's insider holdings across all public companies. Plus, with convenient check boxes users can add selected insider trading filings to a Worklist or use them to create a TDR.
The Insider Trading Report is available as a PDF image or in a Rich Text format. The PDF includes a cover page, table of contents and detailed report pages that provide a summary of all transactions and holdings, including footnotes below each transaction or holding as appropriate. The report can be viewed, printed, e-mailed or saved.

GSI offers LIVEDGAR users access to e-mail Alerts to help them
stay informed of SEC activities and to be the first to know about the latest developments at companies of interest. As each
new document is loaded into LIVEDGAR, it is compared against the Alerts in each user's Alert Profile. If a match occurs, an
Alert is e-mailed to the user notifying them of the document's availability. GSI offers three primary types of Alerts: SEC
Releases, Company Alerts and Full-Text Alerts.
SEC Releases and Company Alerts
The SEC Releases consist of SEC Releases, SEC News Digests and SEC Forms, which are all available at no
charge to LIVEDGAR users. Once released from the SEC, a free e-mail notification will be sent to you with an
excerpt and link to the full text.
You can also sign up for free Company Alerts, which will notify you of the latest developments at companies you
need to track and research. Simply add the names or ticker symbols of the companies you wish to follow in your Alert
Profile. Any time a new filing is made by a company in your Alert Profile, you will receive an e-mail notification of the
event, free-of-charge. A link to LIVEDGAR and the full-text of the filing is available at standard usage rates.
To receive SEC Releases and Company Alerts, LIVEDGAR users can log on to the Free Resources area at
www.gsionline.com. From Free Resources, choose "Company Alerts" to set up a Company Alert or choose "SEC Alerts" to
set up one or all of the SEC Releases. If you are not a LIVEDGAR user, visit www.gsionline.com and click "Free Resources"
to sign up for an ID and password at no charge.
Full-Text Alerts
To further customize alerts to meet your exact needs, simply create a Full-Text Alert by entering your own keywords or
full-text search statement. Once you have completed your search, click on the "Set Alert Profile" button. Whenever a new
document or filing matches your criteria, you will be sent a free e-mail alert with a link to the new document or filing.

LIVEDGAR's Compare Wizard allows you to compare any two documents from the same company with the click of a mouse. For example, quickly compare an S-1/A to an S-1 or 2002 10-K with 2003 10-K in just minutes.
The Compare Wizard feature is simple to use and offers many practical applications for those involved in securities research, including the ability to:
- Locate differences between preliminary and final prospectuses or between original and amended periodic reports
- Pinpoint SEC mandated changes during the registration process
- Identify issues of importance that require further investigation and analysis
- Gain insight on the SEC's most current view about a disclosure or accounting issue before it is publicly available
- Determine whether disclosures over time are stale or current

GSI is pleased to announce LIVEDGAR's new Company Exhibits feature, making it
simpler for users to access and consolidate all online exhibits filed by a particular company.
Included are all exhibits such as articles, bylaws and employment agreements from Forms 10-K, 10-Q,
8-K, S-3, S-4, S-8, SC 13D, N-1A, N-2 and others.
LIVEDGAR's Company Exhibits link is accessible from the Company Filings page and produces a complete
listing of a company's exhibits, detailing the exhibit number, description, related form type, file
date, period and number of pages.


From the Company Exhibits page, you
will find that the exhibits are listed by exhibit number by default. However, users can easily
re-sort the exhibit list by description, form type, file date, period or number of pages. You can
also specify a date range in lieu of the default "All."
Users can view the full-text of the exhibit
by selecting the exhibit link. To further refine your search, select the Search
Exhibits link, which takes you to the Full-Text Search page, where the CIK number of the
company you are searching is automatically populated. Other options include creating a
nicely formatted report of the exhibit listing that can be
viewed, printed, e-mailed or saved by using the Exhibit Report link. In addition, with convenient check boxes, users can
add specific exhibits to a Worklist or use them to create a TDR.

Exhibits are
available in either .PDF format, which provides an exact replica of the original exhibit,
or .RTF format, which is best for use with word processors like MS Word. The added
benefit of LIVEDGAR's Company Exhibits feature is that the Exhibit Reports and Worklist
files maintain the live link to the full-text of the online exhibit. This makes it
especially convenient for e-mailing lists of exhibits to others. E-mail recipients of
the Exhibit Report can click on the exhibit link in the e-mail, sign on to LIVEDGAR as
prompted, and instantly view the full-text of those exhibits of interest.
Company exhibits have
always been an integral part of filings and often contain just the information you need.
This new feature makes pulling together all the exhibits from all the filings of a company
simple so they can be easily viewed, used and forwarded to others. Now available, check

GSI's LIVEDGAR contains a unique data download function, referred to as Transaction Data Reports (TDRs). A TDR is a report containing all or selected data elements in an Excel spreadsheet. TDRs are available as an output option from the search results in the following LIVEDGAR databases:
- Mergers and Acquisitions (see sample below)
- Registrations & Prospectuses
- Full-Text
- International Prospectuses & 144A
- Company / Ticker

You can customize your TDR to include every data element or just the elements that are important to you. The TDR function has been enhanced so you can now create a report containing ALL of the results in your M&A, Registrations & Prospectuses or Full-Text search, not just the results that appear on the page. This eliminates the extra step of having to "Display All" search results before creating a TDR -- making the process much faster and simpler for you.
Delivery of this data in a spreadsheet format allows you to easily compare, contrast, analyze and present data that would be otherwise difficult, time-consuming and expensive to retrieve. You may save or manipulate the spreadsheet as you would any other Excel document. You can move columns, sort by different columns, add or delete data, create graphs, or cut and paste into Word.
There is a minimum charge of $25.00 per report (500 data elements) or $.05 per data element. However, before you download the report, you will be advised of the exact amount for the total download, at which point, you can proceed or change your data selection criteria.
